Welcome to Ex Arte Design, Inc. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Ex Arte Design, Inc. provides professional graphic design services including, but not limited to, brand identity design, print design, digital design, and art direction. The specific scope of services will be outlined in individual project proposals or contracts.
2. Project Engagement
2.1 Proposals and Agreements
All projects begin with a detailed proposal outlining scope, timeline, and pricing. A signed proposal or contract constitutes a binding agreement between Ex Arte Design, Inc. and the client.
2.2 Client Responsibilities
Clients are responsible for:
- Providing accurate and timely information, materials, and feedback
- Reviewing deliverables within agreed-upon timeframes
- Making timely payments according to the agreed payment schedule
- Ensuring they have rights to any materials provided for use in projects
3. Payment Terms
3.1 Deposits
A non-refundable deposit of 50% of the total project fee is required to commence work, unless otherwise agreed in writing.
3.2 Payment Schedule
Payment schedules are outlined in individual project proposals. Final payment is due upon delivery of final deliverables or as specified in the project agreement.
3.3 Late Payments
Invoices are due within 30 days of receipt unless otherwise specified. Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend work on projects with outstanding balances.
4. Intellectual Property
4.1 Ownership Transfer
Upon receipt of full payment, clients receive full ownership rights to final approved designs created specifically for their project, unless otherwise specified in the project agreement.
4.2 Portfolio Rights
Ex Arte Design, Inc. retains the right to display completed work in our portfolio, on our website, and in marketing materials, unless a confidentiality agreement is in place.
4.3 Third-Party Materials
Some projects may incorporate stock images, fonts, or other third-party materials. Licensing fees for such materials are the responsibility of the client and will be outlined in the project proposal.
5. Revisions and Changes
Each project phase typically includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the included rounds will be billed at our standard hourly rate. Significant changes to project scope may require a revised proposal and additional fees.
6. Project Cancellation
If a client wishes to cancel a project:
- Deposits are non-refundable
- Clients are responsible for payment for all work completed to date
- No ownership rights transfer for incomplete work unless full payment is made
7. Confidentiality
We treat all client information as confidential. We will not disclose proprietary information to third parties without written consent, except as required by law.
8. Limitation of Liability
Ex Arte Design, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the fees paid for the specific project giving rise to the claim.
9. Indemnification
Clients agree to indemnify and hold harmless Ex Arte Design, Inc. from any claims, damages, or expenses arising from the client's use of deliverables or any materials provided by the client.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of our services following any changes constitutes acceptance of the modified Terms.
